The complexity of the central african republic's legal system has a direct impact on the law governing goodwill. Despite the assertion by the supreme court which considers "goodwill" as corresponding to the clientele, there exists in this country a conception which sees this institution simply as a conglomeration of the various components designed to attract customers. Nevertheless, following independance, the law in the central african republic maintained the french law of march 17, 1909, governing the sale and pledging of goodwill, and under the influence of european traders, commercial practice invented the system of lease management.

La complexite du systeme juridique centrafricain rejaillit sur le droit du fonds de commerce. Dans ce pays, en depit de l'affirmation de la cour de cassation qui considere le fonds comme correspondant a la clientele, il existe une conception qui voit en cette institution simplement un conglomerat des divers elements pour attirer la clientele. Toutefois, apres les independances, le droit centrafricain a conserve la loi francaise du 17 mars 1909 reglementant la vente et le nantissement du fonds de commerce et la pratique commerciale a invente, sous l'influence des commercants europeens, la location-gerance.
