The partial contribution of asset is a frequent operation of the restructuring of the businesses which can affect the rights and the interests of the shareholders and also the economic and social partners of a joint-stock company. It is interesting to study the protection of these partners since the development of the partial contribution of asset such as at the time of the decision, at the time of the process of realisation and on a level with the effects. The study of this protection reveals the dualism on the legal system of the partial contribution of asset which is either that of the contribution in kind or that of the scission. In fact, the choice of system influences the degree of the partners's protection. On the whole, the protection of the differents partners is insufficient or insatisfactory even if there are shades depending on the categories.

L'apport partiel d'actif est une opération fréquente de restructuration des entreprises qui peut mettre en cause les droits et intérêts des partenaires sociétaires, économiques et sociaux d'une société anonyme. Il est donc intéressant d'étudier la protection de ces partenaires tout au long du déroulement de l'apport partiel d'actif, c'est à dire lors de la prise de décision, lors de la procédure de réalisation et au niveau de ses effets. L'étude de la protection se fait en exposant à chaque fois la dualité du régime juridique de l'apport partiel d'actif qui est soit celui des apports en nature soit celui des scissions. En effet, le choix du régime influence notablement le degré de protection des partenaires. Dans l'ensemble, la protection des différents partenaires de la société anonyme apparait insuffisante ou inadaptée même si des nuances sont à apporter selon les catégories.
