All shareholders express a convergent interest in the company : sharing the social benefit with loyalty. This community of interest units the shareholders and ensures the good running of the company. However, the mechanism of the company is seized up when a shareholder or a director chooses to satisfy his personnel interest that is contrary to the common interest of shareholders. Such situation then generates a conflict of interests which can takes two forms. It can be "horizontal" when it disturbs the game of relations between shareholders. And it can be "vertical" when it affects the relationship between shareholders and director. These various manifestations of the conflict of interests are violating the common interest and therefore harm the shareholders. In spite of the reforms, the corporate law only rules the conflict of interests in a deficient way. However, the harmfulness of these conflicts requires general regulations which combine prevention and sanction.

Tous les associés manifestent un intérêt convergent dans la société : partager loyalement la richesse sociale. Cette communauté d'intérêt unit les associés et assure le bon fonctionnement de la société. En revanche, le mécanisme sociétaire se grippe lorsqu'un associé ou un dirigeant choisit de satisfaire son intérêt personnel contraire à l'intérêt commun des associés. Cette situation donne alors naissance au conflit d'intérêts qui peut revêtir deux formes. Il épouse une forme horizontale lorsqu'il vient perturber le jeu des relations entre associés. Et il prend une forme verticale lorsqu'il vient affecter les rapports entre associés et dirigeant. Ces différentes manifestations du conflit d'intérêts emportent pour effet de violer l'intérêt commun et causent donc préjudice aux associés. Malgré les réformes, le droit des sociétés ne traite des conflits d'intérêts que de façon lacunaire. Or la nocivité de ces conflits réclame des règles générales qui conjuguent prévention et sanction.
