The research for a better corporate governance is a recurring theme of the corporate law. Numerous tracks were looked for but until now, it is on the management of the companies that focuses the authors. A more current trend tendency tries today to be more particularly interested in the roles and in the missions which can be recognized by the partners. Indeed, since the adoption of the law relative to the new economic regulations, the place of the partner within the company evolved to become more central. Today, the corporate law articulates more exactly around the question of the partner and the research for the means to insure its protection became an axis of this reflection. Two tracks are then privileged. At first, assure the quality and the reliability of the information of the partner, then allow him to intervene in a effective way on the social functioning. Partner’s notion so knows a revival.

La recherche d'un meilleur gouvernement d'entreprise est un thème récurrent du droit des sociétés. De nombreuses pistes ont été recherchées sur ce point mais jusqu'à présent, c'est sur la direction des sociétés que se sont focalisés les auteurs. Une tendance plus actuelle cherche aujourd’hui à s'intéresser plus particulièrement aux rôles et aux missions qui peuvent être reconnus aux associés. En effet, depuis l'adoption de la loi relative aux nouvelles régulations économiques, la place de l'associé au sein de la société a évolué pour devenir plus central. Aujourd'hui, le droit des sociétés s'articule plus précisément autour de la question de l'associé et la recherche des moyens d'assurer sa protection sont devenus un axe de cette réflexion. Deux pistes sont alors privilégiées. D'abord, assurer la qualité et la fiabilité de l'information de l'associé, ensuite lui permettre d'intervenir de manière efficace sur le fonctionnement social. La notion d'associé connaît ainsi un nouvel essor.
