Public policy and corporate law have traditionnaly tumultuous reprts. The presence of the fomer in tha latter is inextricably linked to the rôle that intends to play the State in the economy. The public policy of comporate law is oftendescribed as detailed and repressive. It would be a reflection of an era, that of the after war, where the State intended to control and govern all parts of economy. The tendency to regulate gradually fades now in the face of globalisation and the widespread opening markets to international competition. This redefinition of the rôle of the State does affect the concept of public policy in corporate law ? It is always embodied in an «economic» public policy or has evolved into its foundations or its tecnicals to adapt to the new relationship which the State is required to maintain with the market ?

L'ordre public et le droit des sociétés entretiennent traditionnellement des rapports tumultueux. La présence du premier dans le second est indissociablement liée au rôle qu'entend jouer l'Etat dans l'économie. L'ordre public du droit des sociétés est souvent décrit comme vétilleux et répressif. Il constituerait le reflet d'une époque, celle de l'après-guerre, où l'Etat entendait maîtriser et régenter tous les rouages de l'économie. La tendance à la réglementation s'efface progressivement aujourd'hui face à la mondialisation et à l'ouverture généralisée des marchés à la concurrence internationale. Cette redéfinition du rôle de l'Etat présente-t-elle des répercussions sur le concept d'ordre public en droit des sociétés ? Celui-ci s'incarne-t-il toujours dans un ordre public «économique» ou a-t-il mué dans ses fondements ou ses techniques en vue de s'adapter à la relation nouvelle que l'Etat est appelé à entretenir avec le marché ?
