Plus que d’autres à l’écoute de l’économie, le droit des sociétés a toujours constitué l’une des branches les plus perméables à l’influence étrangère. Longtemps marqué par l’influence allemande, le droit français des sociétés est à l’heure actuelle sous influence anglo-américaine. L’inflation normative d’inspiration anglo-américaine, l’importation et la réception de concepts et pratiques de cette même origine, constituent autant de signes révélant l’existence de ce phénomène. En outre, le droit français des sociétés a connu ces dernières décennies de très nombreuses modifications dictées par des considérations financières et boursières, qui, elles mêmes sont issues de la vague anglo-américaine. Celles-ci lui ont permis d’intégrer diverses notions issues du fonctionnement du marché, notamment celle de la corporate governance. En définitive, l’influence anglo-américaine est générée par des raisons économiques, sociales et organisationnelles. La conséquence de ce phénomène est une évolution de la notion de « société » dans un sens particulièrement libéral.
