This thesis aims at defining the role of the duty ta advice imposed on investment services providers within the financial markets law. The first part is devoted to explaining the concept of the duty ta advice. Il delineates the bases of this duty, determines in which circumstances the investment services pro vider is held of a duty to advice towards the private investor aud undertakes a critical analysis of the field of the duty to advice in an effort ta propose solutions likely to rationalize the field of application of this duty. The second part deals with the implementation of this duty. Il addresses how the duty to advice can be carried out. Are there conditions relating to the form of the delivered advice? On whom falls the burden of proof of the execution? What sanctions are applicable and for which faults? What is the nature of the darnage suffered by the investor and what is the appropriate compensation?

Cette thèse a pour objet de préciser le rôle et la place de l'obligation de conseil des prestataires de services d'investissement au sein du droit des marchés financiers. La première partie est consacrée à la notion d'obligation de conseil. Il s'agit de rechercher les fondements de cette obligation, de déterminer dans quelles mesures le prestataire est tenu d'une obligation de conseil envers l' investisseur et de procéder à une analyse critique du domaine de l'obligation de conseil afin de proposer des solutions susceptibles de rationaliser le champ d'application de l'obligation. La seconde partie porte sur la mise en oeuvre de cette obligation. Il s'agit de rechercher comment l'obligation de conseil peut être exécutée. Y a-t-il des conditions relatives à la forme du conseil délivré? À qui incombe la charge de la preuve de l'exécution? Quelles sanctions sont applicables et pour quelles fautes? Quelle est la nature du préjudice subi par l'investisseur et pour quel montant de réparation?
