L'activité de profession libérale exercée en société : essai sur les sociétés d'exercice libéral

As integral parts of the society, the liberal professions are the subject of technical and socioeconomical transformations which affect the society. Destined to efficiently encourage the liberal professions involvement in companies, non-trading companies going to show rapidly their limits by reason of their social and fiscal systems. The legislators in setting up profession exercise companies by the law n° 90- 1258 of the 31 december 1990, are trying to make up for their shortcomings. Those companies will have as principal targets : to give to liberal profession legal structures allowing them to tackle international competition, to grant these occupations a favourable fiscal investment system, to allow recourse to wage earning and network constitution. By first adapting structures and commercial law to the professions, and secondly, adapting occupation to the modernity, the legislators are allowing the entrance of these professions into those companies without losing their spirit

Partie intégrante de la société, les professions libérales sont l'objet de transformations techniques et socio-économiques qui affectent la société. Destinées à promouvoir efficacement, l'exercice en société des professions libérales, les sociétés civiles professionnelles vont vite montrer leurs limites en raison de leur régime fiscal et social. Le législateur en créant par la loi n° 90-1258 du 31 décembre 1990 les sociétés d'exercice libéral, va essayer de pallier à ces insuffisances. Ces sociétés auront pour principaux objectifs : d'offrir aux professions libérales des structures juridiques leur permettant de faire face à la concurrence internationale, d'accorder à l'activité libérale un régime fiscal favorable à l'investissement, de permettre le recours au salariat et la constitution de réseaux. Pour que l'activité libérale puisse s'exercer dans le cadre de ces sociétés sans perdre son amé le législateur va adapter d'une part, les structures et les règles de droit commercial à la sphère libérale, et, d'autre part, adapter l'activité libérale à la modernité
